Terms of Service
Effective 2 October 2026
1. Acceptance and parties
These Terms of Service (“Terms”) are an agreement between Folklabs, Inc. (“Folklabs”, “we”, “us”) and the business that uses Folklabs (“you”). Folklabs is available at folklabs.ai and in the Folklabs app (the “Service”).
If you sign up on behalf of a business, you confirm you have authority to bind it, and “you” means that business. By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.
The Service is for business use. You must be at least 18 years old to use it.
2. Accounts
You are responsible for your account, for keeping sign-in details secure, and for everything done by the people you invite to your business account (“members”). Tell us promptly at help@folklabs.ai if you believe your account has been accessed without permission. Information you give us when you sign up must be accurate.
3. The Service
Folklabs lets you set up and manage AI agents that do work for your business, such as reporting and bookkeeping tasks. Agents act on your instructions and, where you connect other services, inside those services on your behalf. We may add, change or remove features over time.
4. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business’s internal purposes while your account is active. We and our licensors keep all rights in the Service not expressly granted here.
5. Restrictions
You will not, and will not let anyone else:
- resell, sublicense or rent the Service, or offer it to third parties as a service;
- copy, modify, reverse engineer or decompile the Service, except where the law allows this despite this restriction;
- use the Service to break the law, infringe others’ rights, or send spam or malware;
- interfere with the Service, its security, or other customers’ use of it;
- access the Service by automated means other than the interfaces we provide; or
- use the Service to build a competing product.
6. Connected services, including QuickBooks
You can connect third-party services to Folklabs so agents can work in them. When you connect one, you authorize Folklabs to access it on your behalf, only as needed to run the agents you set up. Your use of each connected service remains governed by your agreement with its provider.
6.1 QuickBooks
If you connect QuickBooks Online, you authorize Folklabs to access your QuickBooks company on your behalf:
- to read your company’s accounting records, for example invoices and estimates for reports; and
- for agents you set up to do so, to create vendors, bills, and attachments to bills.
Folklabs does not delete records in QuickBooks, send invoices or estimates to your customers, take or send payments, run payroll, apply for credit, or change your company settings.
6.2 Intuit
Folklabs is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks and Intuit are trademarks of Intuit Inc., used only to identify the service you connect. Intuit is not responsible for Folklabs, and Folklabs is not responsible for QuickBooks.
6.3 Disconnecting
You can disconnect QuickBooks at any time, from the Connectors page in Folklabs or from within QuickBooks. When you do, we delete the credentials we hold for that connection, on the timeline set out in our Privacy Policy. Information an agent already produced is handled as described in our Privacy Policy.
6.4 Availability
Connected features depend on the provider’s services and permissions. A provider, including Intuit, may change, limit or withdraw access, and we cannot guarantee that connected features will stay available.
7. AI output and your responsibility
Agents are powered by AI and can make mistakes. For example, an agent may record a bill with the wrong vendor, account or amount if a document is unclear or misread. You are responsible for:
- reviewing what agents produce and the records they create in your connected services;
- the accuracy of your books and anything you file or send based on agent output; and
- the instructions and permissions you give agents.
Draft mode. For supported connections, including QuickBooks, you can run an agent in draft mode, either on demand or on a schedule. In draft mode, changes an agent would make in those services are shown to you as proposals and are not carried out. Some connections, which the app identifies before you run, carry out changes even in draft mode. Agents you work with in a chat conversation act immediately, not in draft mode. We recommend draft mode while you get to know an agent.
No professional advice. Folklabs does not provide accounting, bookkeeping, tax, legal or financial advice. Consult a qualified professional before relying on agent output for those purposes.
8. Your data
You own the data you put into the Service and the data agents read from your connected services, including QuickBooks (“Customer Data”). You grant us permission to process Customer Data only to provide, secure and support the Service for you. We do not sell Customer Data, use it for advertising, or use it to train AI models. Our Privacy Policy explains what we collect, which providers process it, how long we keep it and how to have it deleted.
You confirm you have the right to give us the data you provide and to connect the services you connect.
9. Fees
Pricing. Fees for the Service, including your subscription price, billing frequency, and any setup or one-time fees, are as agreed in writing between you and Folklabs, such as in a signed proposal, quote, or email confirmation (your “Plan Terms”). If your Plan Terms conflict with these Terms, your Plan Terms control on those points.
Billing. Fees are billed in advance on the schedule set out in your Plan Terms. By providing a payment method, you authorize us to charge it for all applicable fees.
Automatic Renewal. Your subscription renews automatically at the end of each billing period for the same length of time, at the then-current price, unless you cancel before the renewal date.
Cancellation. You can cancel at any time by emailing help@folklabs.ai. Cancellation takes effect at the end of your current billing period, and you’ll keep access to the Service until then. We will confirm your cancellation by email.
Refunds. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods.
Failed Payments. If a payment fails, we may retry the charge and notify you. If payment is not received within 14 days, we may suspend or terminate your access to the Service.
Taxes. Fees do not include taxes. You are responsible for any applicable sales, use, or similar taxes, other than taxes on our income.
Price Changes. We may change our fees with at least 30 days’ notice. Changes take effect at the start of your next billing period. If you don’t agree to a change, you can cancel before it takes effect.
10. Term and termination
These Terms apply while you use the Service. You may stop using it and close your account at any time by contacting help@folklabs.ai. We may suspend or end your access if you materially breach these Terms, if required by law, or with 30 days’ notice for any other reason.
When your account ends, your license ends and we delete Customer Data as described in our Privacy Policy. Sections 7, 8 and 11–17 continue to apply.
11. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service or agent output will be accurate, complete, uninterrupted or error-free.
12. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the Service is limited to the fees paid to Folklabs in the 12 months before the claim.
This limitation applies to errors in records an agent creates, changes or reads in a connected service, such as a bill recorded with the wrong amount, and to the acts or failures of connected services.
13. Indemnity
You will defend and indemnify Folklabs against third-party claims arising from your Customer Data, your use of connected services, or your breach of these Terms.
14. Changes to these Terms
We may update these Terms. We will post the new version with its effective date and, for material changes, notify you at least 30 days in advance. Continuing to use the Service after the effective date means you accept the change.
15. Governing law and disputes
These Terms are governed by the laws of Colorado, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Denver, Colorado.
16. General
These Terms and the Privacy Policy are the entire agreement between us about the Service. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
